The Athabasca Oil shareholder vote on the Cenovus deal is on November 27, 2026 at 10:00 a.m. Calgary time (noon ET). It will be held in person in Calgary and by live audio webcast. The deadlines come two days earlier: proxies are due by 10:00 a.m. Calgary time on November 25, 2026, and cash-or-Cenovus-share elections by 4:30 p.m. Calgary time that same day. Only holders of record at the close of business on October 27, 2026 can vote. Athabasca filed the circular on November 2, 2026.
This piece covers the mechanics: how to vote, how to elect, and what each choice was worth at the November 2, 2026 close. For the full deal timeline, see our ATH CVE vote and closing timeline. For the spread arithmetic, see ATH CVE deal spread math.
The dates that matter
Every date below comes from the management information circular, dated October 27, 2026, and from Athabasca's November 2 release. All times are Calgary (Mountain) time.
| Date | What happens |
|---|---|
| October 26, 2026 | Alberta court grants the interim order |
| October 27, 2026 | Record date for voting (close of business) |
| November 2, 2026 | Circular filed on SEDAR+ and atha.com |
| November 9, 2026 | Initial 30-day Competition Act waiting period ends |
| November 20, 2026, 5:00 p.m. | Deadline for dissent objections and notices to appear in court |
| November 25, 2026, 10:00 a.m. | Proxy deadline at Computershare |
| November 25, 2026, 4:30 p.m. | Election deadline (cash, shares or a mix) |
| November 27, 2026, 10:00 a.m. | Special meeting and vote |
| On or about December 1, 2026 | Final order hearing, Court of King's Bench of Alberta |
| On or about December 3, 2026 | Expected effective date |
If the meeting is adjourned or postponed, the circular moves both deadlines. Proxies are then due 48 hours before the reconvened meeting, not counting weekends and Alberta holidays. Elections are due at 4:30 p.m. two business days before it.
How to vote Athabasca shares
The path depends on how the shares are held.
- Registered holders (a certificate or DRS statement in their own name) vote on the form of proxy. They can vote online at investorvote.com, by phone, or by returning the form by mail or fax to Computershare Trust Company of Canada. They can also attend the meeting in person or log in to the webcast with their Computershare control number.
- Beneficial holders (shares in a brokerage account, which is most retail holders) receive a voting instruction form. They vote at proxyvote.com or by phone with the 16-digit control number on that form. The circular says these holders face an earlier deadline set by their intermediary.
- Beneficial holders who want to vote at the meeting must first appoint themselves as proxyholder by writing their own name on the voting instruction form. Otherwise they can join the webcast only as guests and cannot vote or ask questions.
A proxy can be revoked or replaced. A later-dated proxy must reach Computershare by the same November 25 deadline. Athabasca's proxy solicitation agent, Laurel Hill Advisory Group, takes voting questions at 1-877-452-7184 (toll-free in North America). The company's special meeting page has the circular, a FAQ and voting instructions.
The election: cash, Cenovus shares or a mix
Voting and electing are separate steps. The vote decides whether the deal happens. The election decides what each holder asks to receive: C$12.00 cash per share, 0.264 of a Cenovus share, or a mix of the two.
- Registered holders elect on the Letter of Transmittal and Election Form, which goes to the depositary, Computershare Investor Services.
- Beneficial holders elect through their broker. The circular says intermediaries "may establish earlier deadlines for making elections."
- No valid election by 4:30 p.m. on November 25 means a deemed election for 100% cash.
An election is a request, not a guarantee. Total cash is capped at 75% of the consideration and total stock at 35%. With 480,335,216 Athabasca shares outstanding on October 26, 2026, those caps work out to about C$4.3 billion in cash (0.75 x 480.3 million x C$12.00) and about 44.4 million Cenovus shares (0.35 x 480.3 million x 0.264).
Two simplified cases show how proration works. They ignore rounding and dissenting shares.
- If every holder ends up in cash, including through the default, cash is cut back to 75%. Each holder then receives 75% cash and 25% Cenovus stock.
- If every holder elects stock, stock is cut back to 35%. Each holder then receives 35% stock and 65% cash.
No fractional Cenovus shares are issued. Fractions of 0.5 or more round up and smaller fractions round down, with no cash paid in their place.
What each choice was worth at the November 2, 2026 close
The stock leg moves with Cenovus ($CVE). On the NYSE, $CVE closed at US$30.68 on November 2, 2026, down 6.3% from US$32.73 on October 30, according to Nasdaq.com historical data. At that price, 0.264 of a share was worth US$8.10.
The cash is in Canadian dollars, so the comparison needs a rate. The Bank of Canada's daily average USD/CAD rate for November 2, 2026 was 1.3978. That is a daily average, not a closing rate. At 1.3978, US$30.68 equals about C$42.88 per Cenovus share, and the 0.264 stock leg equals about C$11.32. ATH.TO and CVE.TO prices for November 2 were not available for this piece, so these are conversions of the NYSE close, not TSX quotes.
| Outcome per ATH share | Value, Nov 2, 2026 (C$) | vs C$12.00 cash |
|---|---|---|
| All cash | 12.00 | 0.0% |
| 75% cash / 25% stock (cash cap binds) | 11.83 | -1.4% |
| 65% cash / 35% stock (stock cap binds) | 11.76 | -2.0% |
| All stock | 11.32 | -5.7% |
The arithmetic: 0.75 x 12.00 + 0.25 x 11.32 = 11.83, and 0.65 x 12.00 + 0.35 x 11.32 = 11.76. The stock leg matches C$12.00 only when Cenovus is at C$45.45 (12.00 ÷ 0.264). At 1.3978 that is about US$32.52 on the NYSE, and $CVE closed below it on November 2, 2026. On October 30, 2026, at that day's Bank of Canada rate of 1.3960, the level was about US$32.56, and $CVE closed above it at US$32.73. The ratio is fixed and the circular describes no price collar, so these values change every day until the deal takes effect.
What the vote needs, and what comes after
The resolution needs at least 66⅔% of the votes cast. It also needs a simple majority of votes cast after excluding shares owned and controlled by CEO Robert Broen, the "minority approval" required under MI 61-101. Quorum is two persons holding or representing at least 10% of the shares entitled to vote. Directors and executive officers holding about 2.2% of the shares have signed support agreements. The board recommends voting for the deal unanimously.
After a yes vote, the deal still needs the final court order and Competition Act approval. Registered holders who want to dissent must deliver a written objection by 5:00 p.m. on November 20, 2026, and beneficial holders can dissent only through the registered holder of their shares. If the agreement is terminated in certain circumstances, either side can owe a C$200 million termination amount. The outside date is April 4, 2027.
On taxes, the circular says the exchange is a taxable transaction for U.S. federal income tax purposes. Its Canadian section describes a joint Section 85 election with Cenovus for eligible holders who receive shares. Nothing here is tax advice. More TSX deal coverage is in our Mergers section and on the Traders On Trend homepage.
Bull/Bear Verdict
Bull Case: The circular is out on schedule, the board is unanimous, two fairness opinions back the price, the TSX has conditionally approved the new Cenovus shares, and the timetable from the November 27 vote to a December 3 effective date is tight.
Bear Case: At the November 2, 2026 close the stock leg was worth about C$11.32, 5.7% below the C$12.00 cash, so the blended package was worth less than the headline price. Competition Act approval and the final court order are still pending, and proration means no holder controls their final mix.
